In the orientation phase you start by formulating your goals, ambitions and reasons for the potential acquisition in order to create a profile of the target company. We are convinced that a successful transaction can only be achieved when there is a clear strategic rationale. Therefore, we will challenge our client on these fundamentals in the preliminary phase.
After the orientation phase it should become evident whether the potential acquisition proposed by the client matches the desired profile and whether the commitment is sufficient to execute the desired transaction. To achieve this we need to obtain a clear picture of the seller’s preferred terms of sale. The actual valuation will happen on the basis of extensive information. In this phase it is important to consider the structure of the transaction, such as the manner of acquisition and the applicable terms. This can lead to issuing a bid.
When issuing a bid we provide creative input so you can maximise your opportunities and minimise your risks. Should a bid be deemed agreeable for both parties, the subsequent phase of execution will commence. A Letter of Intent will be created to document the conditions of the desired transaction. Next, due diligence will take place and a purchase agreement as well as guarantees can be negotiated. We coordinate and direct this process, including the process of obtaining bank financing or venture capital if needed.
