M&A

Acquisition

For most entrepreneurs, making an acquisition is not a daily occurrence. The motivation varies: accelerated growth through an acquisition instead of organic growth, access to new markets, customers, or technology, strengthening market position, vertical integration, or addressing a succession issue at another company.

Finding the right candidate is often a quest in itself, let alone winning the competition with other interested parties. Added to this is the valuation question: what is a target worth on a stand-alone basis, and what justifies a premium based on synergy? Subsequently, the financing must be secured and the negotiations with sometimes experienced sellers must lead to a good result, with all the legal and tax complications that entails.

What you can expect

The acquisition process

We translate the entrepreneur's strategy into a sharp search profile and then proactively and discreetly search for candidates, including off-market opportunities through our network. For promising targets, we map out the valuation, both stand-alone and based on the strategic value for the buyer, and we guide the initial approach and discussions.

An engagement can be a one-off opportunity or a structured search process, aimed at one hundred percent, a majority, or a minority stake, possibly as part of a buy-and-build strategy or together with an investor. Following an indicative offer, we guide the negotiation, the financial, legal, and tax assessment, the arranging of financing, and the due diligence up to and including closing.
