Makelaarsland is an innovative real estate agency that combines traditional home sales with an online platform. The company offers sales and purchasing services through a hybrid model: digital where possible, personal where necessary. With this, Makelaarsland has positioned itself as one of the larger online and hybrid players in the Dutch housing market.

The reason for the process lay in a reconsideration of the strategic fit within the shareholder structure. This led to the decision to spin off the company through a management buy-out, allowing management to realize the next phase of development with its own strategy and focus.

The challenge

The complexity lay in the combination of multiple stakeholders and the need to make the company future-proof. In addition to the management and shareholder, the financing structure also played an important role, including sufficient liquidity for the transition period and the implementation of operational improvements.

That is precisely why a careful and structured process was essential. The solution had to be financially feasible, align with the interests of stakeholders, and at the same time allow room for the management's independent course.

Beyond the deal

Maasdael drafted a financially substantiated document containing the key forecasts and an explanation of the expected liquidity development. This formed the basis for the discussions with the shareholder. In addition, we facilitated the dialogue and helped to structure the solution financially and strategically.

The process was successfully completed, achieving an appropriate solution for the company and its stakeholders. For the organisation, this brought clarity and peace of mind. For management, the transaction provided room to independently pursue the chosen strategy.

The value of sector knowledge

The case fits within broader developments in the real estate agency sector, where digitalization and new business models are transforming the industry. Online and hybrid propositions give consumers more control and put pressure on traditional market models.

For digital or platform-driven companies, this underscores the importance of a strategic fit with shareholders. When this is lacking, a carve-out or management buy-out can be a logical step to unlock value and allow the business to grow further.
