The acquisition financing process
Early involvement pays off. Even before a final bid, we map out what is financeable, often in cooperation with our own acquisition guidance. We analyze the target and the rationale of the acquisition, build an integrated financial model with the company stand-alone and the expected synergy. Based on this, we determine the appropriate structure and leverage. We explicitly name the risks surrounding synergy and integration, along with the measures that make them manageable.
We then explore the wider market: banks, private debt, mezzanine, and debt funds. We compare the indicative bids on structure, price, and flexibility, and translate them into clear choices. In negotiations, it is about leverage, pricing, covenants, and securities. Sufficient covenant headroom is essential in this regard: there must remain breathing room if the performance of the target or the existing company falls short. Finally, we align the financing documentation with the transaction documentation and coordinate signing and closing.
